Referral Partner Program Terms & Conditions
These terms (the “Referral Partner Program Terms & Conditions”) apply to Coffelt Zistler Associates Referral Partner Program. These Referral Partner Program Terms & Conditions govern participation in the Referral Partner Program, and are in addition to any other agreements that you may have with Coffelt Zistler Associates, LLC (“Roo Consulting,” “Roo Consulting Group,” “We,” “Us,” or “Our”), including Our Terms of Use (including but not limited to all disclaimers, limitations of liability, indemnification, choice of law, dispute resolution, and other provisions therein) and Privacy Policy, which are hereby incorporated by reference. By participating in the Referral Partner Program in any way, you agree to these Referral Partner Program Terms & Conditions.
Someone who refers a business(es) to Roo Consulting as part of the Referral Partner
Program, is called a “Referral Partner.” Any business a Referral Partner refers to Roo Consulting is called a “Referee.”
How it Works
If a Referee becomes a Qualified Client, as defined below and subject to Roo Consulting’s sole discretion, the Referral Partner for that Referee will qualify for a Reward Payment.
Reward Payments are currently $1,000.00 OR 10% of the first Qualified Client invoice, whichever is greater, to a maximum of $10,000.00 per Qualified Client.
The percentage fee does not apply to any royalties, revenue share, or other incidental revenue acquired from Roo Consulting's services. Roo Consulting may, in its sole discretion, choose to change this amount or reward-type at any time. Digital payments are subject to the payment provider’s terms and conditions, which Referral Partner hereby agrees to comply with. No third-party payment or reward provider is a sponsor of the Referral Partner Program.
An individual or business seeking to participate in the Referral Partner Program as a Referral Partner should provide their name, phone number, and email address here, or to a staff member of Roo Consulting. The email address provided will then receive a unique referral link that the individual or business may send to Referees. Referral Partners must inform all Referees that the Referral Partner may receive compensation or another reward if Referee uses the Referral Partner’s link to sign up and work with Roo Consulting. By participating in the Referral Partner Program, each and every Referral Partner hereby agrees to provide, and commits to providing, such notice to Referees in every instance.
The Referee must use the Referral Partners tracked Partner Referral Link to reach out to Roo Consulting in order to become a Qualified Client. If a Referral Partner claims to have referred a client under this program, but that referee failed to use the Tracked Partner Referral Link, the referee - not the Referral Partner - must reach out to Roo Consulting to confirm the Referral Partner's involvement. Without confirmation of involvement, any and all rewards or payments under this program are null and void and the referee may not become a Qualified Client. Any and all confirmations of involvement, with or without the tracked Partner Referral Link, are subject to the sole discretion of Roo Consulting.
Payment rewards constitute taxable income and any Referral Partner hereby agrees to provide Roo Consulting with a fully-completed W-9 form upon request. A fully-completed W-9 or other equivalent form is required for any and all reward payments to be completed under these terms.
Any Referral Partner qualifying for a payment will be sent an email with an email with instructions for submitting a W-9 and claiming their reward. Referral Partner must submit their completed W-9 and claim their reward within four (4) months of receiving this email. This email will permit Referral Partner to select a payment method, either via PayPal, ACH Transfer, HubSpot Payment Portal Payment, or in the form a credit for future Roo Consulting services. Other payment methods may be available upon request and at the sole discretion of Roo Consulting. Roo Consulting and/or its partner will send this email within forty-five (45) days of of the Referee becoming a Qualified Client.
A Qualified Client is defined as an induvial or business that has:
1. Been referred to Roo Consulting via a Tracked Referral Partner Link by an Active Referral Partner
2. Signed a Client Service Agreement with Roo Consulting and
3. Has paid their first invoice in full.
A supplementary Confirmation of Involvement statement from the referee may be used in lieu of a Tracked Referral Partner Link at the sole discretion of Roo Consulting.
Representations
By participating in the Referral Partner Program, you represent and warrant: (1) as a Referrer, that you have a personal or professional relationship with your Referree(s) (e.g., you know them or they are part of your social media network); and (2) as a Referrer or Referee, that you will comply with all applicable laws, rules, regulations, contractual terms, and/or policies related to your participation in the Referral Partner Program.
Restrictions
The following is a non-exhaustive list of activities that are not permitted under the Referral Partner Program Terms & Conditions and will disqualify Referrers and/or Referees from being compensated for Qualified Clients:
1. Self-referrals;
2. Use of more than one identity to participate in the Referral Partner Program;
3. Referrals by Roo Consulting’ Sales employees or their family members;
4. Bulk email distribution or any other promotion that would constitute or appear to
constitute unsolicited commercial email or "spam";
5. Placing our logos or mentioning our trademarks or tradenames in any ad text,
extensions, or banner ads without prior permission from Roo Consulting;
6. Using paid advertising to generate traffic to your referral link without prior permission from Roo Consulting;
7. Misleading or attempting to mislead anyone in connection with the Referral Partner
Program, including but not limited to, misrepresenting your relationship with us or posing
as our representative; and
8. Taking any action or making any content that is disparaging or defamatory to us.
Reservation of Rights
We reserve the right to:
1. Cancel or change the Referral Partner Program, including available rewards and
amounts, at any time and for any reason, with or without notice to you;
2. Terminate your Roo Consulting account and/or involvement in the Referral Partner
Program and/or delay, cancel, revoke, or prevent payment or other reward, if we, in our sole discretion, deem any of your related behavior as fraudulent, abusive, unethical, suspicious, a misuse of the Referral Partner Program or other Roo Consulting product or service, or otherwise inconsistent with applicable law, rules, regulations, contractual terms, policies, and/or Referral Partner Program Terms & Conditions; and
3. Determine the interpretation of these Referral Partner Program Terms & Conditions in our sole
discretion. Our decisions as to these terms are final.
Referrals are subject to Roo Consulting’ verification and rewards are paid at the sole discretion of Roo Consulting.
